In continuation of my despatch No.27 of the 5th ultino, I have the honour to forward copy of a letter, dated the 19th ultimo from Sir H. de Sausmarez covering

a memorandum, dated the 20th idem, together with two joint Memoranda by the Attorney General, Mr. H.E. Follock, K.O. and Mr. C.G. Alabaster, dated the 5th and 22nd instant, and I would suggest that es Mr. Rees Davies, the Attorney General, proceeds to England on leave on the 8th April next, opportunity should be taken of his presence At home to obtain an expression of his views verbally before a decision is arrived at with regard to companies formed and registered in Hongkong but trading at Chinese Treaty Forts and not in this Colony.

2. The signatories of the two Memoranda urge that, as regards the formation and winding up of such companies, the jurisdiction of the Hongkong Courts should be direct and that of the Shanghai Court auxiliary, In order that full effect may be given to this procedure, it appeaTS to be necessary that the Hongkong Companies Ordinance should be applied to China and Corse by Order in Council. If this course is adopted, I would also suggest that it may be advisable to apply the Hongkong Companies Ordinance to Weihaiwei, in order that British law on this subject

may be uniform along the China Coast.
